Velsia Terms of Service

These Terms of Service ("Terms") are a binding agreement between Velsia, Inc. ("Velsia," "we," "us") and the entity or person agreeing to these Terms ("Customer," "you"). By creating an account, clicking "I agree," or using the Services, you accept these Terms.

1. The Services

Velsia provides SalesIQ, software that analyzes uploaded sales call scripts/transcripts (text only) to deliver objective scores, timestamped quotes, and coaching recommendations for SDR performance (the "Services"). We do not ingest audio/video or convert media to text.

2. Account & Eligibility

You must be at least 18 and able to form a contract. If you use the Services on behalf of a company, you represent that you have authority to bind that company. You are responsible for your account's security and all activity under it.

3. Customer Content & Responsibilities

3.1 Customer Content

"Customer Content" means the scripts/transcripts you upload to SalesIQ, plus labels, notes, and outputs derived from your use (scores, comments, etc.). You retain all rights to Customer Content.

3.2 License to Velsia

You grant Velsia a non-exclusive, worldwide, royalty-free license to host, process, display, and create derivative analysis of Customer Content solely to provide and improve the Services to you, and as otherwise permitted in these Terms.

3.3 Consents & Rights

You are responsible for obtaining all notices, consents, and rights needed to process Customer Content. Because SalesIQ is script-only, you are responsible for creating transcripts externally and ensuring you have the right to use and analyze them.

3.4 Prohibited Content

You will not upload unlawful content, content that infringes third-party rights, malicious code, or sensitive personal data unless strictly necessary and permitted by law. Admins should enable PII redaction where appropriate.

4. Data Protection & Privacy

Our processing of personal data is described in the Velsia Privacy Policy, incorporated by reference. Admins control data-use choices (e.g., training opt-in/out, retention, telemetry) in Admin → Data Controls. By default, your workspace content is not used to train public models.

5. Agentic AI & Explainability

SalesIQ uses AI to analyze scripts and may orchestrate multiple tools. We design for: least-privilege permissions, human oversight (assistive coaching, no fully automated adverse decisions), explainability (every checkmark includes a verbatim quote + timestamp), and safety (filters and prompt-injection defenses). AI systems can make mistakes; review important outputs before relying on them.

6. Security

We partner with a leading security provider to deliver enterprise-grade protections enforced by SOC 2 Type II controls, 256-bit encryption, GDPR-aligned processing, and 99.9% uptime. We combine their certified infrastructure with our application-level controls (SSO/SCIM, RBAC, audit logs). See Security & Privacy for details and partner attestations.

7. Sub-processors

We use reputable third parties for hosting, storage, analytics, support, and AI inference. A current list is maintained on our website. We require data-processing terms and appropriate safeguards.

8. Trials, Plans, and Fees

8.1 Trials

Free or trial use is provided "AS IS" with limited features and no SLA; we may end a trial at any time.

8.2 Fees

Paid use is subject to the fees in an Order Form or the then-current fees on our Pricing page ("Fees"). Fees are billed in advance per billing period; usage-based charges (e.g., credits/overage) are billed in arrears.

8.3 Changes

We may update Fees for future terms. Material increases for self-serve plans take effect on renewal after at least 30 days' notice.

8.4 Taxes & Late Payment

Fees exclude taxes. You are responsible for applicable taxes. Late amounts may accrue interest or lead to suspension after notice.

8.5 No Refunds

Except where required by law or expressly stated in an Order Form, Fees are non-refundable.

9. Usage Limits & Billing (script-only)

  • Definition of an "Analysis": One Analysis equals the automated scoring of a single text transcript up to 2,000 words (word count measured by SalesIQ at submission). Transcripts over 2,000 words consume additional Analyses in 2,000-word increments (e.g., 2,001–4,000 words = 2 Analyses).
  • Text-only intake: SalesIQ processes text transcripts only. SalesIQ does not accept audio/video uploads and does not convert media to text. Third-party imports are not supported.
  • Plan limits (monthly): Each paid seat includes a monthly limit of Analyses as shown on the Pricing page or your Order Form. Limits reset at the start of each monthly billing cycle. Unused Analyses do not roll over.
  • Annual subscriptions: Annual plans prepay for 12 months of access; monthly Analysis limits still apply and reset each month throughout the term.
  • Overage: If you reach your monthly limit, you may (a) allow overage so we continue processing and bill per-analysis overage at the rate posted on the Pricing page or stated in your Order Form, or (b) disable overage in Account Settings to pause further processing until the next reset.
  • No "unlimited" usage: SalesIQ does not offer unlimited analyses. Reasonable technical rate limits may apply to protect service stability.
  • Counting rules: Each submission counts toward your limit when received. Resubmissions, duplicates, or revisions are counted as separate Analyses.

10. Customer Restrictions

You will not: reverse engineer, modify, or resell the Services; access them to build a competing product; disclose non-public features; interfere with security; or use the Services unlawfully (including spam, harassment, discrimination, or unlawful surveillance).

11. Intellectual Property

11.1 By Velsia

Velsia and its licensors own SalesIQ, the Services, software, documentation, models, and all related IP. No rights are granted except as expressly stated.

11.2 Feedback

If you provide feedback, you grant Velsia a perpetual, irrevocable license to use it without restriction or payment.

11.3 Outputs

Subject to these Terms and applicable law, you may use SalesIQ outputs (scores, comments, recommendations) from your workspace for your internal business purposes.

12. Confidentiality

Each party may access the other's confidential information and will protect it using reasonable measures, using it only for these Terms. Exceptions apply to information that is public, already known, independently developed, or rightfully obtained without restriction.

13. Service Availability & Support

We target high availability and provide support per your plan (e.g., standard or priority SLAs). Beta or experimental features may be withdrawn or changed at any time.

14. Warranties & Disclaimers

EXCEPT AS EXPRESSLY SET OUT IN AN ORDER FORM, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." VELSIA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE ERROR-FREE OR THAT RESULTS WILL MEET YOUR REQUIREMENTS.

15. Indemnities

15.1 By Velsia (IP)

We will defend and indemnify Customer against third-party claims alleging that the Services (as provided by Velsia) infringe a valid IP right, and pay final damages/costs awarded, provided you promptly notify us and cooperate. We may modify, replace, or procure rights to continue the Services. This does not apply to claims arising from Customer Content, combinations not provided by us, or non-current versions you refuse to update.

15.2 By Customer (Content & Use)

You will defend and indemnify Velsia against claims arising from Customer Content, your unlawful use, or your breach of these Terms.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS/REVENUE, EVEN IF ADVISED OF THE POSSIBILITY. EACH PARTY'S TOTAL LIABILITY IS LIMITED TO THE AMOUNTS PAID OR PAYABLE BY CUSTOMER TO VELSIA FOR THE SERVICES GIVING RISE TO THE CLAIM IN THE 12 MONTHS BEFORE THE EVENT. These limits don't apply to Section 15 (Indemnities) or breaches of Section 12 (Confidentiality).

17. Term, Termination & Suspension

17.1 Term

These Terms start when you accept them and continue while you use SalesIQ.

17.2 Termination

Either party may terminate for material breach not cured within 30 days after notice. You may terminate at any time for convenience; prepaid Fees are non-refundable unless required by law or your Order Form.

17.3 Suspension

We may suspend access for non-payment, security risk, or misuse, after reasonable notice where practicable.

17.4 Effect

Upon termination, access ends. For 30 days after termination (unless prohibited by law), you may request an export of Customer Content not previously deleted. We will delete or de-identify Customer Content according to our retention schedules and the Privacy Policy.

18. Publicity

We may use your name and logo to identify you as a customer on our website and marketing materials, consistent with your brand guidelines, unless you opt out by written notice.

19. Compliance; Export; Anti-Corruption

You will comply with applicable laws, including privacy, anti-spam, and export control laws. You will not use SalesIQ in embargoed countries or for prohibited end uses. Each party will comply with anti-corruption and anti-bribery laws.

20. Changes to the Services or Terms

We may update SalesIQ and these Terms. For material changes, we will post an updated version and, where required, provide notice. Changes take effect on posting; material fee changes apply on renewal per Section 8.3. If you do not agree to updated Terms, stop using the Services.

21. Governing Law; Dispute Resolution

These Terms are governed by the laws of Delaware, USA, excluding conflict-of-law rules. The parties consent to exclusive jurisdiction and venue in the courts located in San Francisco, California, USA. The UN Convention on Contracts for the International Sale of Goods does not apply.

22. Notices

Legal notices to Velsia must be sent to legal@velsia.ai and to:

23. Assignment

You may not assign these Terms without our prior written consent, except to an affiliate or in connection with a merger, sale, or reorganization, provided the assignee agrees to these Terms. We may assign freely.

24. Force Majeure

Neither party is liable for delays or failures caused by events beyond reasonable control (e.g., internet outages, acts of God, war, labor disputes).

25. Order of Precedence; Entire Agreement; Severability

If there is a conflict, an executed Order Form or DPA controls over these Terms, and these Terms control over other documents. These Terms constitute the entire agreement and supersede prior understandings. If any provision is unenforceable, the remainder remains in effect.

26. Definitions (summary)

  • Order Form: an ordering document executed by Customer and Velsia (or an online checkout flow).
  • Pricing page: the publicly posted plan features, credit allotments, and overage rates, as updated from time to time.
  • Workspace: the Customer's tenant/account within SalesIQ.
